End-User License Agreement (EULA)

Adept N.V. Internal Application

1. Introduction

This End-User License Agreement (“Agreement”) governs the use of the internal web application (“Application”) developed and operated by Adept N.V., located in Paramaribo, Suriname.

By accessing or using the Application, you agree to be bound by this Agreement.

2. Scope of Use

The Application is:

  • Developed exclusively for internal use by employees, contractors, or authorized personnel of Adept N.V.
  • Intended to support business operations, including integration with third-party services such as QuickBooks.

You may only use the Application:

  • For work-related purposes
  • In accordance with company policies
  • With proper authorization from Adept N.V.

3. License Grant

Adept N.V. grants you a limited, non-exclusive, non-transferable, revocable license to use the Application for internal business purposes.

You may NOT:

  • Copy, modify, or distribute the Application
  • Reverse engineer or attempt to extract source code
  • Use the Application for personal or external commercial purposes

4. User Responsibilities

You agree to:

  • Use the Application responsibly and securely
  • Protect your login credentials
  • Not misuse or attempt unauthorized access to data or systems
  • Comply with all applicable laws and company policies

5. Third-Party Services (QuickBooks)

The Application integrates with third-party services, including QuickBooks.

By using these integrations:

  • You acknowledge that third-party terms and policies apply
  • Adept N.V. is not responsible for the operation or availability of these services
  • Data exchanged with QuickBooks is subject to Intuit’s terms and privacy policies

6. Data Handling

The Application may process:

  • Internal company data
  • Financial or operational data
  • User account information

All data is handled in accordance with Adept N.V.’s Privacy Policy.

7. Intellectual Property

All rights, title, and interest in the Application remain the exclusive property of Adept N.V.

This includes:

  • Software
  • Design
  • Code
  • Documentation

8. Availability & Changes

Adept N.V. may:

  • Modify or update the Application at any time
  • Restrict or discontinue access without prior notice
  • Perform maintenance that may temporarily interrupt service

9. Disclaimer of Warranties

The Application is provided “as is” without warranties of any kind.

Adept N.V. does not guarantee:

  • Continuous availability
  • Error-free operation
  • Compatibility with all systems

10. Limitation of Liability

To the maximum extent permitted by law:

Adept N.V. shall not be liable for:

  • Indirect or consequential damages
  • Data loss
  • Business interruption

11. Termination

This Agreement is effective until terminated.

Access may be revoked:

  • If you violate this Agreement
  • If your relationship with Adept N.V. ends

12. Governing Law

This Agreement is governed by the laws of Suriname.
